13.1 Key Contract Clauses

Subject and specifications: drawings, material lists, color samples and dimensional tolerances attached to the contract;

Quality standards: explicitly cite testing standards and acceptance criteria (AQL, test items);

Price and trade terms: FOB/CIF, currency, payment milestones (deposit/balance ratio);

Lead time: clear sampling, production and vessel-loading milestones with default liability;

Packaging and transport: KD/pre-assembled, packaging standards, damage liability allocation;

After-sales and spare parts: warranty period (commonly 1–3 years), spare-parts supply years and response time.

13.2 Quality and Delivery Default Handling

Agree on handling of non-conforming products: rework, replacement, discounted acceptance or rejection;

Agree on late-delivery penalty percentages and force-majeure exemption clauses;

Use phased acceptance to avoid discovering systemic issues only after full delivery.

13.3 Payment and Risk Control

Prefer milestone payments (contract signing, sample approval, shipment, arrival acceptance);

For large orders, use L/C or partial cash against documents (CAD);

Retain a quality guarantee (e.g., 5%–10% balance) until acceptance passes;

Monitor currency and tariff risks; specify currency and pricing basis in the contract.
